TERMS AND CONDITIONS

When booking a session, you AGREE to these terms of service upon paying your booking retainer fee. Any trade work agreed to by the photographer and another vendor is still subject to these terms and conditions.

Gallery Delivery and Retention Policy

The Client is responsible for downloading and securely storing the final gallery upon receipt. The Photographer will retain access to the online gallery for a period of 30 days from the date of delivery. After this period, the gallery and all associated files may be permanently deleted, and the Photographer is not obligated to maintain a backup.

Booking Deposit and Payment

Client acknowledges and agrees that the Retainer amount set by the Photographer is due upon hiring the Photographer to perform services on behalf of the Client and is not refundable so as to fairly compensate Photographer for committing her time to provide the Services and turning down other potential projects or clients. Both parties agree that the Retainer will be credited towards the total Fees payable by Client. The Retainer amount is being paid to secure Client's desired date. Client agrees to pay all fees outstanding (remaining balance after the deposit is paid) right after the photoshoot is performed.

Cancellation By Client

Client acknowledges and agrees that Cancellation by Client will not result in a refund of any fees paid on or prior to the date of Cancellation by Client.

Rescheduling

In the event of rescheduling, ONLY applicable if the rescheduling is requested 7 or more days prior to the booked date, the Photographer will use reasonable efforts to accommodate Client’s change and to offer another available date. If the available dates do not suit the Client's needs and the Client refuses to Reschedule the event for one of the available dates, such Rescheduling will be deemed as Cancellation by Client and the Photographer will be under no obligation to perform the Services other than on the original date of the Services.

Photographic Materials and Copyright

All photographic materials shall be the exclusive property of the Photographer. The Photographer shall own the copyright in all images created and may use the work for samples, contests, exhibition, advertising and self-promotion.

Client’s Usage

The Client is obtaining prints for personal use only and shall not sell said prints or authorize any reproductions thereof by parties other than the Photographer. If Client is obtaining a print for reproduction, Photographer authorizes Client to reproduce the print only as set forth under Special Usage Requirements. In such event, Client shall request that a copyright and credit notice for the Photographer be placed adjacent to the photograph on publication but shall have no liability if the publication refuses or omits to do so.

Social Media

The client agrees that they will under no circumstances alter any photographs that are placed in public on the internet. The client agrees to be responsible for any family member or friend who posts photographs online and agrees that they cannot be altered in any way.

Failure to Perform

If the Photographer cannot perform the scheduled photoshoot due to a fire or other casualty, strike, or other cause beyond the control of the parties, or due to the Photographer’s illness, then the Photographer shall return any funds previously paid to the Client but shall have no further liability with respect to the Agreement. This limitation on liability shall also apply in the event that photographic materials are damaged in processing, lost through camera malfunction, lost in the mail, or otherwise lost or damaged without fault on the part of the Photographer. In the event the Photographer fails to perform for any other reason, the Photographer shall not be liable for any amount in excess of the retail value of the Client’s order.

Term

These Terms will begin on the Effective Date (once the Retainer fee is processed by the Client) and continue until the latter of the date where all outstanding Fees under this Agreement are paid in full; or the date where all final Work Product has been delivered.

Style & Client Acknowledgement

Client acknowledges and agrees that:

1. Client has reviewed Photographer’s previous work and portfolio and has a reasonable expectation that Photographer will perform the Services in a similar style;
2. Photographer will use its artistic judgement when providing the Services, and shall have final say regarding the aesthetic judgement and artistic quality of the Services;
3. Disagreement with Photographer’s aesthetic judgement or artistic ability are not valid reasons for termination of this Agreement or request of any monies returned;
4. The Photographer will use its judgement to choose the photos for the Client's Gallery and will not respond to any requests of particular photos to be delivered;
5. The Photographer will not under any circumstances provide RAW files to the Client except in cases where this is previously agreed as a part of written Contract where the Photographer has agreed to provide unedited photos as per the Client's needs.
6. The client understands that it can take anywhere from 7 up to 30 business days for the Photographer to deliver the Gallery.

Liability

It is client’s responsibility to take care of the children; Sanya Ran Photography LLC will not accept any responsibility due to any accident to children or damage to public or private properties during the photo shooting.
